Terms of Service

DRAFT OUTLINE — NOT LEGAL ADVICE, NOT BINDING, NOT FOR PUBLICATION. This file exists so the page and its translations are wired up. The text below is a structure to hand to counsel, not an agreement. Every {{ }} placeholder must be filled and the whole document reviewed before this page is allowed to go live.

1. Who these terms are between

{{LEGAL ENTITY NAME}}, {{REGISTERED ADDRESS}} ("ServiceHistory", "we") and the business that subscribes to the service ("the customer", "you").

2. What the service is

ServiceHistory is repair-shop management software provided over the internet. {{Describe the subscription model, the office/organization structure, and what is included at each tier once billing exists.}}

3. Accounts and access

{{Who may create accounts, the customer's responsibility for its employees' use, password and multi-factor requirements, and our right to suspend an account for security reasons.}}

4. Customer data

The customer owns the data it puts into the service — its clients, equipment records, service orders, inventory and financial records. We process that data as the customer's processor, on its instructions, under the data processing agreement. See the privacy notice and the subprocessor list.

{{Export and deletion on termination: format, window, and what we retain in backups and for how long.}}

5. Fees and payment

{{Subscription fees, billing period, taxes, late payment, and what happens on non-payment. Not yet applicable — billing is not live.}}

6. Availability and support

{{Any uptime commitment, maintenance windows, support channels and response expectations. Do not state a figure here that operations cannot evidence.}}

7. Acceptable use

{{Prohibited uses, reverse engineering, resale, and the consequences of breach.}}

8. Intellectual property

{{Our ownership of the software; the customer's licence to use it; feedback.}}

9. Warranties and liability

{{Disclaimers and the liability cap. Must be drafted against the governing law chosen in section 12 and checked against consumer-protection rules in every market served.}}

10. Term and termination

{{Renewal, notice periods, termination for cause, and effect of termination.}}

11. Changes to these terms

{{How and with how much notice we may change them.}}

12. Governing law and disputes

{{Governing law and forum — note that the service is sold in Puerto Rico, the United States, Latin America and Portugal, and that the EU market constrains what may be imposed on a customer there.}}
